Operations Guidelines, Bayside Quilters

ESTABLISHMENT AND GOALS

Bayside Quilters of the Eastern Shore was established in 1992, and incorporated as a 501(c)3  corporation in 2010. Its goals are to bring together people interested in quilts and in supporting and encouraging the present day art of quilt making; to contribute to the community by supporting charitable and educational quilt making activities, and to establish lines of communication among members for the stimulation of thought, exchange of ideas, mutual assistance, education about quilt making and enhancement of individual strengths.

MEMBERS

Bayside members shall be those individuals who share the purposes of the organization, and pay the assessed yearly dues.  Members are expected to participate in activities of the guild.

Guests may attend two meetings; thereafter they must join before attending additional meetings.

DUES

Bayside Quilters of the Eastern Shore shall assess yearly dues to support its mission and activities.  The Board of Directors shall recommend the amount of annual dues, and changes must be approved by a vote of members at a regularly convened meeting.

Dues are considered in arrears if not paid by the October meeting, resulting in loss of  membership and eligibility for receiving newsletters or participating in member activities.

 BOARD OF DIRECTORS

The Board of Directors shall consist of the elected officers (president, vice president, secretary and treasurer) and the heads of the program committee, the outreach committee, and the preservation and education committee. The heads of committees and others asked to participate by the board of directors shall be the Advisory Group.

The Board of Directors and the Advisory Group will meet on an ad hoc basis, expected to be 3-4 times a year, to conduct guild business. Meetings will be announced in the newsletter, and are open to members in good standing. Members are urged to bring concerns to the attention of the officers and board of directors.

OFFICERS

President: The president is responsible for attending all meetings, presiding over meetings, coordinating and overseeing all committees, and appointing a Nominating Committee no later than February of each year.

Vice President: The vice president is an assistant to the president.  She will perform all duties upon the absence of the president, or if the president is unable to fulfill duties. She will carry out the duties of any office that becomes vacant until that office can be filled.

Secretary: The secretary is responsible for taking minutes at each meeting, providing copies to the president and vice president, and providing a copy to the newsletter editor. Minutes will be presented at the next meeting for corrections and approval.

Treasurer: The treasurer is responsible for receiving and disbursing all monies of the Bayside Quilters.  The treasurer shall submit a report for the newsletter each month. A committee appointed by the president will inspect the records of income, disbursements and assets twice a year.

Vacant Offices: Vacant offices will be filled by appointment by the board of directors until the next election.

Terms of Office: An officer’s term runs from September 1 to August 31 of each year.

COMMITTEES

The heads of the following committees will be members of the board of directors.

Programs: This committee is responsible for providing programs and workshops at meetings and at other times during the year.

Outreach: The outreach committee is responsible for identifying and proposing charitable projects related to quilting for the Bayside Quilters organization, and for organizing participation in such projects.

Education and Preservation: This committee is responsible for activities that further the mission of the Bayside Quilters in educating the public about the history and present day art of quilt making, and in preserving interest and skills in quilt making.

SELECTION OF MEMBERS OF THE BOARD OF DIRECTORS

The Nominating committee will develop a slate of officers and heads of these committees to be the board of directors.  The slate will be presented to the membership at the March meeting, and elected by a vote of the members at the April meeting.

COMMITTEES

The heads of these committees will constitute an Advisory Group to the officers and board of directors, to assist them in making policies for the guild, and in carrying out the activities of the guild.

Newsletter: The newsletter editor shall prepare and distribute the monthly newsletter.

Website: The person in charge of the website will prepare materials each month for the webmaster, with the cooperation of the newsletter editor.

History: The historian maintains a history of the Bayside Quilters.

Publicity: This committee is responsible for publicizing meetings and events or activities for the public.

Hospitality: This committee organizes social events, typically luncheons held twice yearly.

Library: The library committee is responsible for maintaining and running the guild’s library.

Property: This committee keeps track of the physical property of Bayside Quilters and arranges for its use and storage.

Room Organizer: This person is in charge of set up and use of the meeting room for regular meetings.

Nominating: The nominating committee is responsible for developing a slate of officers and board members and submitting it for a vote of acceptance to the members at the April meeting.

Sunshine: This person receives information from members and sends get well and condolence messages from the guild.

Past President: The immediate past president shall be a member of the advisory group.

Other committees:  Other committees, ad hoc or ongooing, may be established as needed, by the board of directors, and heads of those committees may be asked to join the advisory group.  It is expected that heads of important efforts, such as the quilt show and ongoing community activities, will be part of the advisory group..

MEETINGS

Meetings shall be held on the second Wednesday of each month. If changes of time or place are needed, they should be announced as soon as possible to the membership, usually by newsletter.

For conducting business at monthly meetings, a motion is carried by an affirmative vote of a majority of the members present.

Roberts Rules of Order will be used as a guide for questions of procedure.
